項羽(何潤東飾)二十出頭，出身貴族世家，天賦異稟，力能舉鼎，豪氣干雲，是舉世無雙的大英雄。劉邦(陳道明飾)年逾四十，終日遊手好閒，他既豪爽，並善於社交，喜好吹牛，與縣裡小吏蕭何(楊立新飾)等關係甚好。
秦始皇登基，項羽時刻謹記為報國家之仇，秦始皇猝死，奸臣弄權，二世繼位，殘暴不仁，濫征民力，民不聊生，流寇四起。此時，民間英雄豪傑紛紛起義，項羽和劉邦亦各自招徠義軍抗秦。以劉邦為首的義軍率先攻入咸陽城，卻把管治權拱手讓予後至的項羽。
項羽的謀臣范增(孫海英飾)，洞悉劉邦早存叛逆之心，多次力勸項羽要消滅劉邦，並且在鴻門宴上，欲以表演劍術行刺劉邦，惜項羽優柔寡斷，計劃失敗告吹。
項羽毋忘家仇國恨，自鴻門入咸陽後，屠戮居民，並殺死秦室宗族及有秦宮婦女，劫取一切秦庫貨幣，並把咸陽宮室付諸一炬。項羽雖擁立楚義帝為楚懷王，卻自行分封劉邦為「漢中王」，並自號「西楚霸王」，還將楚懷王架空並流放，命人暗殺。
楚懷王駕崩的消息傳遍天下，劉邦以此為憑，興兵伐楚。劉邦召集大軍，號召天下諸侯，討伐項羽，一時間，漢軍集結近五十萬的兵力，楚漢之爭一觸即發！
自古英雄難過美人關，項羽、虞姬(李依曉飾)、劉邦及呂雉(秦嵐飾)發生段段纏綿悱惻的傳奇愛情。楚漢之爭，劉邦得謀臣蕭何、張良(霍青飾)，以及軍事人才韓信(段奕宏飾)等相助，最終得勝，在延續秦朝原有政治制度的基礎上，建立了統治天下達四百餘年的大漢帝國，史稱「漢高祖」。
